Registration Procedure

Company Names
Company names should end with the words "Limited Liability Company" or the suffixes "LLC" or "LC".
Company names containing restricted words such as "Bank", "Insurance", "Trust", and "University", "College" etc. will not be permitted unless an appropriate State operating licence has been obtained by the company.


Officers and Shareholders
An LLC does not issue shares and therefore does not have shareholders. The owners of an LLC are referred to as members.
A Delaware LLC may be formed by one or more organizer or member.
Shareholders, directors and officers of a corporation or members or managers of an LLC need to be non residents of Delaware.
No requirement for there to be a company secretary.
There is no statutory requirement for ultimate beneficial ownership information to be disclosed to Delaware state authorities.


Authorised Capital (Equity)
There is no minimum capital requirement.


Registered agent services
Delaware registered agent service is billed in January each year, when the Delaware annual franchise tax reports are sent out. Non-Delaware registered agent service is billed on the anniversary date of your corporations' filing with the Secretary of State, and normally corresponds with the State's annual report filing.


Filing of Annual Return
An Annual Return must be submitted on the 1st of June every year after the year of registration.


Filing of Financial Statement
There is no general requirement to file Financial Statements for an LLC company that has no business activities or income in USA and where management and control is carried out by Members who are not USA residents.
All companies must maintain adequate accounting records.


Corporate Taxation
LLC companies which have no business activities in USA; do not derive any income from USA sources, and are managed and controlled by Members who are not USA residents, are exempt from USA Federal and State corporation taxes.


The annual franchise tax
The annual franchise tax for LLC's is $250.00 and is due by June first of every year, after the year of formation.
